Terms of Service

These Terms of Service ("Terms") govern your access to and use of the websites, software, and services provided by Vascoh LLC under the brand Mise ("Mise," "we," "us," or "our"). By engaging our services, signing an order form, or using this website, you ("Client," "you") agree to these Terms.
1. What we provide
Mise provides software and done-for-you services that help independent restaurants and small businesses in the United States capture more orders, protect their margins, and automate back-office work. Services may include AI-assisted phone answering and order-taking, online and mobile ordering setup, food-cost and profit analytics, inventory and invoice processing, demand and prep forecasting, menu engineering, and loyalty programs. The specific services, deliverables, fees, and any guarantee for your engagement are set out in the order form or proposal agreed between you and us (the "Order"). If the Order conflicts with these Terms, the Order controls.
2. Fees and payment
- Setup fees are one-time charges, due before work begins, as stated in your Order.
- Subscription / management fees are recurring (typically monthly) for ongoing services.
- Advertising spend (where applicable, e.g. online-ordering ads) is paid by you directly to the relevant platform through an account you own. We do not collect, hold, or mark up your ad spend.
Fees are billed in U.S. dollars and processed securely through our third-party payment processor, Stripe. By providing payment details you authorize us to charge the applicable fees. Late or failed payments may result in suspension of services. Except as expressly stated in these Terms or your Order, fees are non-refundable. See our Refund & Cancellation Policy.
3. Client responsibilities
- Provide accurate business information and timely access to the accounts, phone lines, menus, and data needed to deliver the services.
- Comply with all applicable laws, including those governing your business, advertising, communications, and consumer protection.
- Be responsible for any required customer disclosures or consents where we operate a phone line or messaging on your behalf; we provide tools and guidance to support compliance.
4. Ownership and data
You own your customer data, menus, phone numbers, ordering accounts, and reviews generated through the services. We may use anonymized, aggregated performance data to improve our services. We retain ownership of our underlying software, templates, and tools.
5. Term and termination
Your engagement runs for the term in your Order; subscriptions continue until cancelled. Either party may terminate for material breach uncured 14 days after written notice. Upon termination you remain responsible for fees accrued through the effective date. Sections on payment, ownership, disclaimers, limitation of liability, and governing law survive termination.
6. Disclaimers
Except for any express guarantee in your Order, the services are provided "as is" without warranties of any kind, express or implied. Business results depend on factors outside our control (your pricing, menu, staff responsiveness, market conditions, and third-party platforms). We do not warrant uninterrupted or error-free operation of any third-party platform.
7. Limitation of liability
To the maximum extent permitted by law, neither party will be liable for indirect, incidental, special, consequential, or punitive damages. Our total aggregate liability arising out of or relating to the services will not exceed the fees you paid us in the three (3) months preceding the event giving rise to the claim.
8. Governing law
These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-laws rules.
9. Changes
We may update these Terms from time to time. Material changes will be posted on this page with a new date. Continued use after changes take effect constitutes acceptance.
